Visyond is a Software as a Service provider. As such it offers a service (“Visyond”) for public use, to individual users, companies, organizations and or legal entities worldwide.
These terms of use constitute at all effect an Agreement between you and Visyond Ventures Ltd (“Visyond” or “the Company”). By accessing this Website, by registering with it and by using Visyond, you confirm and acknowledge that you have (i) read these terms of use and that you understand their content, and (ii) that you agree to be bound by this Agreement between you and Visyond. We may change the terms of this Agreement at any time and at our discretion, without us being obliged to notify you. You are advised to periodically check this document in case there were changes. If you do not agree to be bound by the terms and conditions laid out herein, do not use or access the Website nor the Services offered therein. By accessing this Website, you are agreeing to be bound by all applicable international laws and domestic regulations of the jurisdiction from where you are accessing this Website and its content. The materials contained in this Website are protected by the applicable copyright and trade mark law.
YOUR ACCOUNT
To register with the Website, you will be provided with a secure user name, password or other credentials that are part of our security procedures. You must treat such information as confidential, and you must not disclose it to any third party. If you are a physical person, third party means other persons or organizations. If you are a legal entity, third party means affiliates or subsidiaries. You agree to immediately notify the Company of any unauthorized use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should exert particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information for unpredictable misuses.
We have the right to terminate and or cancel your account, disable any user identification code or password, whether chosen by you or provided by us, at any time at our sole discretion without explanation, if we deem that you have failed to comply with any of the provisions of this Agreement.
By using Visyond, you represent that you are 13 or older, and that you will not permit a minor under the age of 13 to use Visyond or otherwise interact with your account. Visyond will not in any circumstances knowingly solicit or accept personally identifiable information or other content from a user or visitor who Visyond knows is under 13 years of age. If we discover that a user under 13 years of age has created an account we will terminate the account.
By using Visyond, you agree that we may identify you as a recipient of services and use your logo in sales presentations, marketing materials and press releases, and develop a brief customer profile for use by Visyond on Visyond.com for promotional purposes.
USER GENERATED CONTENT
The Website contains user generated content, message boards, personal web pages or profiles, forums or other interactive features (collectively, “Interactive Services”) that allow you to post, interact, submit, publish, display or transmit to other users (hereinafter, “post”) content or materials (collectively, “User Content”) on or through the Website. All User Generated Content must comply with the Standards set out here below.
We claim no intellectual property rights over the User Content. Your profile and materials uploaded remain yours. However, by setting your pages and materials to be viewed publicly, you agree to allow others to view, comment, download, purchase and edit your Content. You represent and warrant that you own or control all rights on and for the User Content and have the right to grant the Company and its affiliates the use described above. You agree to defend, indemnify and hold harmless the Company and its affiliates for any breach of that representation and warranty.
Your use of the Visyond Service is also subject to the Visyond Privacy Policy in effect at the time of your use, which is incorporated herein as though set forth in full. You can review the most current version of the Visyond Privacy Policy.
Any feedback, comments, or suggestions you may provide regarding Visyond is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.
You understand and acknowledge that you are responsible for any User Content you submit or contribute and that you have full responsibility for such content, including its compliance with laws and regulations, reliability, accuracy and appropriateness. Any content and/or opinions uploaded, expressed or submitted to the Website, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinion and the responsibility of the person or entity submitting them and do not necessarily reflect the opinion of the Company.
INTERNATIONAL USE
Visyond Ventures Ltd. is registered in UK. Notwithstanding the disclaimer set forth in the introduction of this Agreement, by using Visyond you acknowledge that you are voluntarily transferring information (potentially including personally-identifiable information) and content also to the United Kingdom. You agree that Visyond’s collection, use, storage and sharing of your information and Content is subject to the laws of the United Kingdom, not of the jurisdiction in which you are located. This Agreement is governed by the laws of England and Wales.
PAYMENTS AND RENEWALS
Subscriptions to Visyond may be made available for free or paid depending on the service levels subscribed to. Not all of the features and functionalities of Visyond may be available in each version or service level. The features and functionalities of each version or service level may be changed from time to time at Visyond’s sole discretion.
In order to subscribe to Visyond, you may be required to provide Visyond with billing and account information (“Billing Information”) for a credit card, payment card or another payment system for which you are authorized to approve charges (each, a “Payment Source”) to allow Visyond to collect payment from you for your use of Visyond. You must provide Visyond with true, accurate, current and complete Billing Information and promptly update your Billing Information to keep it true, accurate, current and complete.
Unless other payment arrangements have been agreed with Visyond, you authorize Visyond to automatically and immediately bill your Payment Source without any further action on your part or other prior notice on the part of Visyond. You assume full responsibility for such charges, even if such charges are declined or not paid by your Payment Source.
Unless stated to the contrary, all charges for paid versions of Visyond are non-refundable, even if your use of the paid version of Visyond is cancelled before the end of your current billing period.
Unless otherwise indicated, all currency references in paid versions of Visyond are in USD.
If you choose to upgrade, you will immediately have access to the new plan or feature(s) and will be charged pro-rata during the current billing period.
If you wish to downgrade your premium plan or feature(s), this decision will be effective at the end of the current billing period.
You are solely responsible for any and all taxes, levies, charges and fees incurred or that may be payable to any taxing authority in connection with the transactions hereunder, other than any income tax incurred by Visyond. All fees stated for use of Visyond are net of any applicable taxes.

These Terms of Use will remain in full force and effect while you use the Visyond Service. Those terms that can continue to operate after you stop using Visyond, will survive after you stop using the Visyond Service.
